The full Terms of Business, once issued and agreed, form the legally binding agreement between Init Source Ltd and the Client. If there is any conflict between this summary and the full Terms of Business, the full Terms of Business will prevail.
Init Source Ltd is a UK-registered recruitment company specialising exclusively in permanent Platform Engineering, SRE, DevOps, Cloud Infrastructure, and related technical recruitment.
We act primarily as an Employment Agency for permanent recruitment and, where applicable, as an Employment Business.
We operate in accordance with the Conduct of Employment Agencies and Employment Businesses Regulations 2003.
Permanent placement fees are calculated as a percentage of the Candidate's first-year total remuneration, including base salary and any guaranteed bonuses, allowances, or guaranteed payments where applicable.

Retained and exclusive search arrangements are available and are governed by a separate written agreement.
A Candidate is considered introduced where Init Source Ltd provides the Candidate's name, CV, profile, details, or otherwise brings the Candidate to the Client's attention in connection with employment, engagement, or recruitment.
All Candidates introduced by Init Source Ltd remain our introduction for 12 months from the date of first submission or introduction.
If the Client hires, employs, engages, contracts, or otherwise retains an introduced Candidate within that period, whether for the original role or any other position, a placement fee may become payable under the full Terms of Business.
This applies where the Candidate is engaged by the Client, an associated company, a related business, or a connected third party following the introduction.
If a Candidate was previously known to the Client, the Client must notify Init Source Ltd in writing within 48 hours of receiving the Candidate's details and provide reasonable evidence of prior direct contact or an active recruitment process.
Failure to notify Init Source Ltd within this period may be treated as acceptance of the introduction, subject to the full Terms of Business.
If a placed Candidate leaves within 12 weeks of their start date, or 8 weeks for entry-level or otherwise agreed reduced-fee roles, and the invoice has been paid in full and on time, Init Source Ltd will provide a free replacement search for the same role as the default remedy, subject to the full Terms of Business.
Any refund, credit, or alternative remedy is subject to the full Terms of Business agreed with the Client.

All Candidate information provided by Init Source Ltd is confidential and must only be used for the purpose of assessing the Candidate for a genuine role or opportunity.
Candidate details must not be copied, forwarded, disclosed, stored, or shared with any third party, associated company, hiring manager outside the agreed process, or external organisation without Init Source Ltd's prior written consent.
Where a Candidate is introduced to another party by the Client and is subsequently hired, employed, engaged, contracted, or otherwise retained, a placement fee may become payable under the full Terms of Business.
Init Source Ltd processes personal data in accordance with the UK GDPR and the Data Protection Act 2018.
Personal data is processed for recruitment, candidate representation, client hiring support, compliance, and related business purposes.
Candidate data must be handled confidentially and used only for the purpose for which it was provided.

Init Source Ltd will exercise reasonable skill and care when introducing Candidates but does not guarantee Candidate performance, conduct, suitability, availability, continued employment, or long-term retention.
The Client remains responsible for making the final hiring decision and for carrying out all required checks before employment or engagement.
Subject to the full Terms of Business, Init Source Ltd's liability is limited to the fee paid for the relevant introduction.
These Terms are governed by the laws of England and Wales.
Both parties agree to attempt to resolve disputes in good faith within 30 days before pursuing formal legal action. Where appropriate, the parties may consider mediation before issuing proceedings.
